Requirements

Applicants should bring substantial experience with commercial contracts and transaction-focused diligence. The work requires careful legal analysis, familiarity with virtual data rooms, and the ability to communicate risk clearly and concisely.

  • 5+ years of commercial contract drafting, negotiation, or diligence review experience
  • Extensive experience reviewing contracts in virtual data rooms during live M&A transactions
  • Strong familiarity with change-of-control, assignment, and termination mechanics
  • Experience conducting or managing diligence at a major firm or in managed review
  • JD and active bar membership, or an equivalent legal qualification
  • Strong written and verbal communication skills
  • Ability to identify material legal risk and distinguish it from boilerplate
  • Familiarity with exclusivity, MFN, indemnification, and renewal provisions
